Article 1: Definitions

Publisher: LUCKY BOYS SAS, publisher of the Riwil platform (see the Legal Notice).
Platform: the riwil.co website and all software services accessible from it.
Client: any professional holding an account on the Platform for the purposes of their business activity.
Participant: any end customer of a Client taking part in a game offered through the Platform (see the Game CGUV).
AI Content: any content generated by an artificial-intelligence feature of the Platform (for example a suggested reply to a review).

Article 2: Purpose and acceptance

These Terms of Use ("CGU") set out the rules governing the Client's access to and use of the Platform. They are separate from the Terms of Sale (CGV), which govern the commercial relationship (plans, pricing, payment, cancellation), and from the Game CGUV, which govern participation by Participants. Creating an account constitutes unreserved acceptance of these CGU.

Article 3: Description of the services

The Platform makes it possible, in particular, to: set up a prize wheel accessible via QR code to encourage an establishment's customers to leave a Google review; configure prizes and their probabilities; send winnings by email or SMS; monitor Google reviews and, as an option, generate AI-assisted replies; send SMS campaigns; use team engagement and multi-location management tools; and generate communication materials (posters, QR codes). The details of the features and options are presented on the website and in the administration area.

Article 4: Account and security

Registration requires accurate and up-to-date information. The Client's credentials are strictly personal; the Client is responsible for their confidentiality and for any activity carried out from their account. A free 7-day trial is offered under the conditions described in the CGV. The Client agrees to notify the Publisher without delay in the event of any unauthorized use of their account.

Article 5: Client obligations

The Client agrees to:
— use the Platform in accordance with the regulations applicable to their business and their games (in particular the regulations governing promotional operations);
— offer lawful prizes, actually deliver them to winners and inform Participants transparently;
— collect and use Participants' data only in compliance with the GDPR, and in particular carry out marketing communications (email or SMS) only to Participants who have given their consent;
— comply, for any SMS sending, with the rules applicable to direct marketing (sender identification, STOP notice, permitted time slots);
— refrain from publishing through the Platform any content that is unlawful, misleading or infringes the rights of third parties.

Article 6: Artificial intelligence

Some features rely on artificial-intelligence models. AI Content consists of automatically generated suggestions: it may contain inaccuracies and must be reviewed by the Client before any publication. The Client remains solely responsible for the content they publish, including when it is derived from AI Content. How these processing operations work is described in the Privacy Policy.

Article 7: Availability and maintenance

The Publisher endeavours to keep the Platform accessible 24/7, without any guarantee of continuous availability. Maintenance operations, whether planned or corrective, may cause temporary interruptions. The Publisher is bound only by a best-efforts obligation.

Article 8: Prohibited conduct

It is prohibited, in particular, to:
— attempt to gain unauthorized access to the Platform, its servers or other users' accounts;
— carry out bulk data extraction (scraping), decompile or reverse-engineer the Platform;
— circumvent the technical limitations or quotas in place;
— resell or make the Platform available to third parties without the Publisher's written consent;
— use the Platform to artificially manipulate online reviews, in breach of the rules of the platforms concerned.

Article 9: Account suspension and termination

If the Client breaches these CGU, the Publisher may suspend access to the account after a notice that has remained without effect, or immediately in the event of a serious breach (fraud, security compromise, unlawful use). Cancellation of the subscription and its effects are governed by the CGV. The procedures for exporting and deleting data are described in the Privacy Policy.

Article 10: Intellectual property

The Platform, its brand, its software and its content are the exclusive property of LUCKY BOYS or its licensors. The subscription grants the Client a personal, non-exclusive and non-transferable right of use, limited to the duration of the subscription. Content provided by the Client (logos, text, data) remains their property; the Client grants the Publisher a licence limited to hosting and displaying it for the purposes of the service. AI Content may be freely used by the Client in the course of their business.

Article 11: Personal data

The processing of personal data is described in the Privacy Policy. For Participant data collected through the games, the Client acts as data controller and Riwil as data processor within the meaning of Article 28 of the GDPR (see the corresponding article of the CGV).

Article 12: Changes to the CGU

The Publisher may amend these CGU to reflect changes to the service or to regulations. The Client is informed of any substantial change by email or through the Platform with reasonable notice. Continued use after the change takes effect constitutes acceptance.

Article 13: Governing law and jurisdiction

These CGU are governed by French law. Any dispute relating to their interpretation or performance shall, failing an amicable resolution, be submitted to the jurisdiction of the Commercial Court of Bordeaux.
