1. Who we are
Riwil is a software service operated by LUCKY BOYS SAS, a French simplified joint-stock company, 165 Route de Villereal, 24560 Sainte-Radegonde, France (“Riwil”, “we”, “us”). These Terms of Service (“Terms”) govern the use of Riwil by businesses located in the United States (“you”). Questions: marion@riwil.co.
2. Business use only
Riwil is offered to businesses for use in the course of their business. By creating an account, you confirm that you are authorized to accept these Terms on behalf of the business you register.
3. The Service
Riwil lets you run a prize wheel game for your customers (“Participants”), accessed by scanning a QR code, together with dashboards, printable posters and optional add-on modules. Features may change over time. SMS features are not available to accounts located in the United States.
4. Your account
You must provide accurate information, keep your login credentials confidential and are responsible for all activity under your account.
5. Free trial
New accounts may receive a free 7-day trial. No payment card is required for the trial and you are not charged when it ends unless you choose to subscribe to a paid plan.
6. Plans, prices and taxes
Plans (monthly, annual or lifetime) and add-on modules are priced in US dollars. The price and billing period are shown before you pay. Payments are processed by Stripe. Prices exclude applicable sales or use taxes, which are added at checkout where required.
7. Automatic renewal and cancellation
Monthly and annual subscriptions, and the add-on modules attached to them, renew automatically at the end of each billing period and are charged to your payment method at the then-current price until you cancel. You can cancel at any time online from your account (Subscription page / billing portal); cancellation takes effect at the end of the current billing period and you keep access until then. Except where required by law, payments are non-refundable and no refund is given for a partially used period. We will notify you in advance of any price change affecting your renewal. The lifetime plan is a one-time payment and does not renew.
8. Your games: you are the sponsor
Each game run with Riwil is organized and sponsored by you, not by Riwil. You choose the prizes, their value, the odds of winning and the claim period, and you must honor the prizes won. You are responsible for complying with all federal, state and local laws that apply to your promotions, including sweepstakes laws (for example, registration and bonding requirements that some states, such as New York and Florida, impose above certain prize values). No purchase may ever be required to play. Riwil provides an Official Rules template, linked from your wheel, which you must review and adapt to your promotion where needed.
9. Customer reviews
For accounts located in the United States, Riwil directs every Participant to your Google review page regardless of the rating they give, and does not filter or suppress negative feedback. You agree not to condition any prize or benefit on a review expressing a particular sentiment, not to write, buy or solicit fake reviews, and to comply with the FTC Trade Regulation Rule on the Use of Consumer Reviews and Testimonials (16 CFR Part 465), the FTC Endorsement Guides and the policies of review platforms. Review platforms, including Google, have their own policies on reviews linked to incentives and may remove reviews or take action on your business profile; Riwil has no control over and is not responsible for such decisions.
10. Participant data
Riwil processes the personal information of your Participants (such as email address) on your behalf, as your service provider, to run your games and deliver prizes. You are responsible for having a lawful basis and any notices required to collect it, and for complying with the CAN-SPAM Act and other applicable laws if you send marketing messages to Participants. 11. Acceptable use
You may not use Riwil for unlawful, deceptive or fraudulent purposes, attempt to disrupt or reverse-engineer the Service, or access accounts or data that are not yours.
12. Intellectual property
Riwil and its content are owned by LUCKY BOYS SAS. You receive a non-exclusive, non-transferable right to use the Service during your subscription. You keep ownership of your content (logo, prize descriptions) and allow us to use it to provide the Service.
13. Third-party services
The Service relies on third-party services such as Google and Stripe, whose own terms apply. We are not responsible for their availability or decisions.
14. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE ANY NUMBER OF REVIEWS, CUSTOMERS OR RESULTS.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIWIL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM.
16. Indemnification
You will defend and indemnify Riwil against claims, fines and costs arising from your games and prizes, your reviews practices, your use of Participant data or your breach of these Terms.
17. Termination
You may stop using the Service at any time. We may suspend or terminate accounts that breach these Terms or create legal risk, with notice where reasonable.
18. Changes
We may update these Terms. The date at the top of this page shows the latest version; material changes will be notified by email or in the Service before they take effect.
19. Governing law
These Terms are governed by French law, and disputes are subject to the jurisdiction of the Commercial Court of Bordeaux, France, without prejudice to any mandatory rights you have under the law of your state.
