Article 1: Purpose
These Terms of Sale (hereinafter "CGV") govern the subscription by any professional (hereinafter "the Client") to the Riwil software, published by LUCKY BOYS SAS (see the Legal Notice). The Service is reserved for professionals acting in the course of their business activity; any subscription implies unreserved acceptance of these CGV, which supplement the Terms of Use (CGU).
Article 2: Plans and pricing
Riwil offers the following plans, the details and current prices of which are displayed on the website before any subscription:
— Monthly plan: 9 € excl. tax / month
— Annual plan: 83 € excl. tax / year (a 30% discount compared with the monthly plan)
— Lifetime plan: 145 € excl. tax, one-time payment
These prices are exclusive of tax; the applicable VAT is added automatically at the time of payment. Riwil reserves the right to change its prices; new prices apply only to subscriptions taken out after their publication or upon renewal.
Article 3: Free trial
A free 7-day trial is offered to new clients, with no commitment and no automatic charge at the end of the trial period, unless the Client actively subscribes to a paid plan.
Article 4: Payment terms
Payment is made by bank card via the secure Stripe platform. The monthly and annual plans are charged automatically on a recurring basis at each billing date. The lifetime plan is subject to a one-time payment.
Article 5: Term, renewal and cancellation
The subscription is entered into for an indefinite term with tacit renewal at each billing date (monthly or annual), unless a specific contractual commitment has been agreed with the Client. The Client may cancel their subscription at any time from their administration area; the cancellation takes effect at the end of the current billing period, with no pro-rata refund for the period already started. Where a contractual commitment has been agreed, early cancellation is only possible under the conditions specifically defined with the Client.
Article 6: Options and add-on modules
In addition to their plan, the Client may subscribe to add-on modules (for example negative review filtering, a white-label wheel, AI-powered automated replies to Google reviews). These modules are billed on top of the main plan, at the price displayed when they are activated, and follow the same billing cycle as the main plan.
Article 7: SMS credits
The Client may purchase SMS credit packs, used to send SMS messages to Participants (prize notifications, SMS campaigns). Credits are deducted upon sending, are neither exchangeable nor refundable, including in the event of cancellation, and may be used as long as the account is active. The Client agrees to send marketing SMS messages only to Participants who have consented to receive them and to comply with the applicable regulations (identification, STOP notice, permitted time slots).
Article 8: No right of withdrawal
As the Service is subscribed to by a professional for the purposes of their business activity, the provisions on the right of withdrawal set out in Articles L. 221-18 et seq. of the French Consumer Code do not apply, in accordance with Article L. 221-3 of the same code.
Article 9: Personal data processing (Article 28 GDPR)
As part of the Service, Riwil processes Participants' personal data on behalf of the Client, acting as data processor within the meaning of Article 28 of the GDPR, with the Client remaining the data controller. In this capacity, Riwil undertakes to process this data only on the Client's documented instructions, to ensure the confidentiality and security of the processing, to assist the Client in meeting their obligations (data subjects' rights, breach notification), to use only the sub-processors listed in the Privacy Policy and to inform the Client of any change to that list, and, at the end of the contract, to delete or return the data in accordance with the Privacy Policy.
Article 10: Liability
Riwil uses the necessary means to ensure the availability and proper functioning of the Service, without guaranteeing the complete absence of interruptions. Riwil cannot be held liable for indirect damages resulting from the use of the Service. Riwil's liability, if established, is limited to the amounts actually paid by the Client over the last twelve months.
Article 11: Intellectual property
Riwil holds all intellectual property rights relating to its platform. Subscribing grants the Client a non-exclusive and non-transferable right to use the Service for the duration of the subscription.
Article 12: Changes to the CGV
Riwil may amend these CGV. The applicable version is the one in force on the day of subscription or renewal. Any substantial change is brought to the Client's attention by email or through the Platform before it takes effect.
Article 13: Governing law and jurisdiction
These CGV are governed by French law. Any dispute relating to their interpretation or performance shall, failing an amicable resolution, be submitted to the jurisdiction of the Commercial Court of Bordeaux.
